Terms of Service
Keyspur Systems is a trading name of Michael Jituboh, a sole proprietor (“Keyspur”, “we”, “us”). These terms cover your use of the Keyspur subscription (the “Service”). By starting a pilot or subscription you agree to them. Questions: hello@keyspursystems.com.
1. The Service
Keyspur is software for local service businesses, sold as one monthly subscription. It includes:
- AI receptionist: a voice assistant that answers calls forwarded to it, in your business’s name, collects the caller’s details and books appointments or takes messages under the rules you set.
- Notifications and owner page: email alerts with booking details and calendar invites, and a private page listing calls, messages, bookings and website leads.
- Hosted website: a website with tap-to-call, online booking and a lead form, hosted by us while your subscription is active.
- Review requests: a tool to ask a customer for a Google review after a job you mark as done.
- Setup: we configure the software with you during onboarding.
The plan includes up to 1,000 answered call minutes per month. If your volume regularly goes beyond that, we will contact you before anything changes. We never add charges without your agreement.
2. Pilot, billing and cancellation
- Pilot: new customers get a 14-day pilot at no charge. A payment method is required to start it. If you cancel before the pilot ends, you are not charged.
- Subscription: after the pilot, the Service costs $697 per month (USD), billed monthly in advance, plus any sales tax that applies. It renews each month until you cancel.
- Cancel anytime: email hello@keyspursystems.com or use the link in your receipt. Cancellation takes effect at the end of the current billing month, and nothing further is charged. There is no contract or cancellation fee.
- Refunds: see our Refund Policy.
- Price changes: we will give you at least 30 days’ notice by email before any price change takes effect for you.
- Payment processing: our order process may be conducted by our online reseller Paddle.com. Where it is, Paddle.com is the Merchant of Record for your order, provides customer service for billing questions and handles returns and refunds.
3. Your responsibilities
- Give us accurate business details (hours, services, service area, booking rules). The receptionist can only be as accurate as what it is told.
- Call recording: the receptionist’s greeting says calls may be recorded. Keep that disclosure in place. Some US states require every party’s consent to recording.
- Text messages: do not use the Service to send marketing texts. Any message to a caller must follow the law, including the TCPA and carrier rules, and the caller’s consent.
- Reviews: ask every customer the same way. Don’t use the review tool to filter out unhappy customers (“review gating”); Google’s policies prohibit it.
- Don’t use the Service for anything unlawful, for outbound telemarketing or robocalls, or to mislead callers about who they are speaking to.
- You are responsible for the content you ask us to publish on your website, and for having the right to use it.
4. What the AI will and won’t do
The receptionist is an automated system. It is set up not to quote prices, promise outcomes or claim licences, warranties or guarantees on your behalf, and to say it is an AI assistant if asked. It can misunderstand callers or make mistakes, so check bookings and messages it sends you. It is not an emergency service. It does not replace 911, and it can’t guarantee that urgent calls reach you.
5. Your data
Call recordings, transcripts, bookings and caller details belong to you. We process them only to provide the Service, as described in our Privacy Policy. When your subscription ends, you can ask for an export of your bookings and messages within 30 days. After that we delete them, except where we must keep records by law.
6. Third-party services
The Service relies on providers for telephony, AI speech and language, hosting, email and payments. We choose them carefully, but we don’t control their availability.
7. Availability
We work to keep the Service running at all times, but we can’t promise it will be uninterrupted or error-free. Planned maintenance will avoid your busy hours where we can. If a fault on our side stops calls being answered for a significant time, contact us and we will make it right with a credit.
8. Your website and domain
We host the website while your subscription is active. Your domain stays yours. If you cancel, we can give you the site’s files on request, and you are free to host them elsewhere.
9. Intellectual property
We own the Keyspur software, templates and systems. You own your business name, logo, content and customer data. You give us permission to use them only to provide the Service.
10. Liability
To the extent the law allows, the Service is provided “as is”. We are not liable for indirect or consequential losses, such as lost profits, lost jobs or missed calls. Our total liability for any claim is limited to the fees you paid us in the three months before the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Ending the Service
You can cancel at any time (section 2). We may suspend or end the Service if you seriously break these terms or don’t pay. Where possible we will warn you first and give you a chance to fix it.
12. Changes to these terms
If we change these terms in a way that matters, we will email you at least 30 days before the change applies to you. Continuing to use the Service after that means you accept the new terms.
13. Governing law
These terms are governed by the laws of Nigeria. Before going to any court, we both agree to try to resolve disputes by contacting each other in good faith.
